Lack of Corporate Formalities
Litigating attorneys will check to see if the entity has kept corporate formalities,
for example:
- Regular and documented meetings
- Issuance of stock certificates
- The use of a corporate record book
- Adequate capitalization of the entity upon its creation
- An implemented organizational structure
- Compliance with state filings
- And so on.
